Our agreement

“We”, “us” and “our” mean Ross Clark trading as FixItRoss. These terms apply alongside the quotation and any agreed project specification supplied before you place your order. Any expressly agreed project-specific terms take priority where they conflict with these general terms, subject to applicable law. A consumer is an individual buying wholly or mainly outside their trade, business or profession.

The version supplied and agreed when your order is placed applies to that order. Publishing a later version on this website does not automatically change an existing agreement. Merely visiting this page or submitting an enquiry does not place an order or amount to acceptance of a paid service.

Payment

Payment is due within 30 days of the invoice date unless a different payment schedule was agreed before ordering. Deposits, staged payments and any requirement for payment before production, launch or handover will be stated in the quotation.

For qualifying overdue business debts, we may charge statutory interest and recovery costs under late-payment legislation. These statutory commercial late-payment charges do not apply to consumer customers.

Scope of work and additional charges

The price covers the goods, features, pages, integrations, revisions and other deliverables described in the accepted quotation or specification. Additional features, changes to approved designs, extra revisions and work outside that scope require agreement on any additional charges and timescale before proceeding.

Correcting work that does not meet our contractual or legal obligations is not treated as a chargeable extra.

Customer information and timescales

You must provide the information, content, access and approvals reasonably needed to complete the work. Delivery and completion dates are estimates unless expressly agreed as binding. We will notify you promptly of significant delays and their likely effect. Customer delays or agreed changes may require a revised schedule. This does not remove any legal rights relating to late delivery or performance.

Website and application testing and approval

We will carry out services with reasonable care and skill and develop the website or application against the agreed specification. You will have a reasonable opportunity to review and test it before final approval or launch. Please identify any discrepancies promptly.

Supported browsers, devices, operating systems and integrations will be those agreed for the project. Approval does not waive rights concerning hidden defects or work that fails to meet the contract.

Defect correction, updates and ongoing support

Unless a longer period is agreed, the project includes 30 days of post-launch support to correct reproducible defects in our delivered work. This does not include new features, content changes or problems caused solely by subsequent customer alterations or third-party changes.

Ongoing maintenance, updates, monitoring, training and support are included only where expressly agreed. The 30-day support period is an additional service commitment; it does not impose a 30-day deadline on legal claims or remove our responsibility for defective work.

Hosting, domains and third-party services

Website or application development does not automatically include ongoing hosting, domain registration, email, databases, paid software, API usage or third-party subscriptions. Included services, charges, billing periods, renewal arrangements and cancellation requirements will be stated in the quotation or service agreement.

Third-party services are subject to their own applicable terms and licences, which we will identify where relevant. Changes to external platforms may require separately agreed work. We remain responsible for our own contractual obligations and for suppliers we engage to the extent required by law.

Availability, security and backups

We will use reasonable care and skill and meet applicable security and data-protection obligations. We do not promise uninterrupted availability or that a system can never experience a security incident. Any specific uptime, response-time, backup, retention or restoration commitments must be expressly agreed.

You must keep account credentials secure and follow reasonable security instructions. You should retain independent copies of important content and data where practical; this does not reduce any backup or security responsibilities we have agreed or are legally required to fulfil.

Customer content and lawful use

You must have permission to use any text, images, logos, designs, software, data or other materials you supply. You remain responsible for the accuracy of your business information and the lawfulness of your business activities and instructions.

Responsibility for preparing legal notices and implementing privacy, cookie, accessibility or other compliance requirements will be identified in the project specification. We remain responsible for obligations applying to us and for properly implementing requirements included in our agreed work.

No particular search ranking, visitor volume, sales result or app-store approval is guaranteed unless expressly agreed in writing.

Intellectual property and use of the work

You retain ownership of materials and rights you supply. Unless otherwise agreed in a signed written assignment, intellectual property rights in our original designs, code, templates and reusable tools remain with us.

Once the relevant project charges are paid in full, we grant you a permanent, non-exclusive licence to use the completed website or application for its agreed purpose, including having another provider host, maintain or modify it. This does not permit our reusable tools or templates to be resold separately.

Source-code delivery, editable files and technical documentation will be specified in the quotation. Third-party and open-source components remain subject to their own licences. Purchase of a physical item does not include its design files unless expressly agreed.

Domains, accounts and handover

Domains registered specifically for you will be registered in your name where the registry permits. Responsibilities for account ownership, access and renewals will be agreed before setup.

When services end, we will cooperate with an orderly handover of your content, data and any deliverables you are entitled to receive. Additional migration or setup work may be charged where agreed in advance. Personal data will be returned or deleted in accordance with the applicable data-processing agreement and legal requirements; it will not be retained indefinitely as security for unpaid fees.

Project cancellation

Where you cancel a project outside an applicable statutory cancellation right, and cancellation is not caused by our breach, you must pay for work properly completed and reasonable, unavoidable costs already committed for that project. We will take reasonable steps to minimise those costs, avoid double recovery and refund any excess advance payment.

Deposits are payments towards the agreed work and are not automatically non-refundable in every circumstance. This clause does not restrict any right to cancel or obtain a refund because we have failed to fulfil the contract.

Consumer cancellation rights

For qualifying distance or off-premises contracts, consumers generally have a 14-day cancellation period, starting from receipt of goods or from formation of a services or digital-content contract, as applicable. We will provide the required cancellation information and form before the contract is made.

We will start services during that period only following your express request. If you then cancel, any charge will be limited to the proportion lawfully payable for services already supplied. The cancellation right is lost on full performance only where the required request and acknowledgement have been obtained.

For digital content supplied without a physical medium, early supply and loss of cancellation rights require your separate express consent and acknowledgement, together with the required contract confirmation. A website or application is not automatically exempt from cancellation rights simply because it is bespoke.

To exercise an applicable cancellation right, send a clear statement identifying your order to ross@fixitross.com or use the business postal address on your quotation or contract confirmation. You may use the cancellation form supplied with your contract, but you do not have to. This does not shorten any cancellation period available under applicable law.

Suspension and termination

If an undisputed payment remains overdue, we may suspend the affected work or service after giving at least 14 days’ written notice and an opportunity to resolve the matter. Suspension will be proportionate and will not involve automatic deletion of customer data.

We may temporarily restrict access without advance notice where reasonably necessary to address unlawful use or an immediate, serious security risk, explaining the action as soon as reasonably possible. Either party may terminate for a material breach that is not remedied within a reasonable period after written notice. Applicable consumer cancellation and termination rights remain unaffected.

Physical goods: ownership, delivery and bespoke orders

Ownership of physical goods remains with us until payment for those goods has cleared. Risk passes on physical delivery to you or your nominated recipient.

Goods genuinely made to your specifications or clearly personalised are normally excluded from statutory change-of-mind cancellation rights. This does not affect rights where goods are faulty, unsafe, not as described or otherwise fail to meet legal requirements.

3D-printed items and faulty goods

Minor layer lines and manufacturing marks consistent with the agreed finish are normal characteristics of 3D printing and do not, by themselves, indicate a fault. Goods must still meet their agreed description and applicable quality and safety requirements.

Suitability for food contact, children’s play, load-bearing or safety-critical use must be discussed and expressly agreed before ordering. Such suitability is not claimed unless specified.

Faulty or incorrectly described goods will be dealt with in accordance with applicable legal rights, including repair, replacement, price reduction or refund where required. Consumer remedies are not restricted to our choice, and rights do not automatically expire after 30 days.

Personal data and confidentiality

We process customer information for purposes including quotations, delivery, administration, support and legal obligations, as explained in our privacy notice and in accordance with applicable UK data-protection law.

Where we host or otherwise process personal data on your behalf, an appropriate written data-processing agreement must be in place before that processing begins. Each party will protect the other’s confidential information and disclose it only where authorised, necessary for the agreed services under appropriate safeguards, or legally required.

Read our privacy and cookie notice.

Liability

Nothing in these terms excludes or restricts liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot legally be excluded or restricted.

For business customers, we exclude liability for indirect or consequential losses where legally permissible. Any financial liability cap must be expressly stated in the accepted quotation or project agreement and comply with applicable law. These general terms do not themselves impose a financial liability cap.

For consumers, we remain responsible for reasonably foreseeable loss or damage caused by our breach of contract or negligence. Nothing in these terms removes mandatory rights relating to goods, digital content or services.

Complaints and governing law

Please raise complaints using the contact details on your quotation or invoice, or email ross@fixitross.com, so that we can investigate and seek a resolution.

The agreement is governed by the law of England and Wales. For business customers, the courts of England and Wales have exclusive jurisdiction. Consumers retain any mandatory protections and rights to bring proceedings in the courts available to them where they live.
